Instructor Terms
These Instructor Terms were last updated July 17, 2023.
You accept these Instructor Terms ("Terms") when you register to become an instructor on the LifeMentor platform. These Terms, which describe the features of the LifeMentor platform that apply to instructors, are incorporated into our Terms of Use, the general rules that apply to your use of our Services, by reference. The definitions of capitalized terms that are not provided in these Terms can be found in the Terms of Use.
Regardless of whether another LifeMentor subsidiary arranges for payments to be made to you, you are entering into a contract as an instructor directly with LifeMentor, Inc. (a Delaware corporation in the United States).
1. Instructor Obligations
As an instructor, you are in charge of all content you publish, including lectures, tests, coding challenges, practice exams, assignments, resources, and solutions as well as the content of the course landing page, labs, assessments, and announcements ("Submitted Content").
You affirm and guarantee that:
You will maintain and provide accurate account information;
You are in possession of or possess all necessary licenses, rights, consents, permissions, and authority to permit LifeMentor to use your submitted content in accordance with these terms and the terms of use;
your submitted content will not violate or take advantage of someone else's intellectual property;
You possess the necessary training, experience, knowledge, and skill sets to instruct and provide the services that you provide through your Submitted Content and use of the Services; and
You will make sure that the standard of service you provide is in line with that of your sector and instruction services in general.
You promise that you won't:
post or provide any unsuitable, offensive, racially insensitive, homophobic, sexist, pornographic, false, deceptive, inaccurate, infringement, defamatory, or libelous materials;
post or send any unauthorized or unsolicited marketing materials, junk mail, spam, or other forms of commercial or other solicitation through the Services to any user;
utilize the services for purposes other than offering students tutoring, instruction, and teaching services;
participate in any activity that would necessitate us obtaining licenses from or paying royalties to any third parties, such as the requirement to pay royalties for the public performance of a musical work or sound recording;
frame, embed, or otherwise get around the Services (for example, by embedding a free version of a course);
pretend to be someone else or gain unauthorized access to someone else's account;
interfere with, obstruct, or otherwise make it impossible for other instructors to provide their products or services;
abuse the tools and services offered by LifeMentor.
2. License to LifeMentor
You authorize LifeMentor to use your submitted content for offering, marketing, and other commercial purposes as described in the Terms of Use. This includes the right to include captions or make other accessibility-related changes to Submitted Content. You also give LifeMentor permission to grant sublicenses to other parties for these rights to your submitted content, including students directly and through intermediaries like affiliate sites, distributors, resellers, and distributors, as well as through affiliate sites, deal sites, and paid advertising on third-party platforms.
You have the right to remove all or any part of your Submitted Content from the Services at any time, barring any prior arrangement (including those set forth in our Promotions Policy). Unless otherwise specified, LifeMentor's right to sublicense the rights in this section with respect to new users expires 60 days after the removal of the Submitted Content. However, (1) any lifetime access grants made to students prior to the removal of the Submitted Content will remain in effect, and (2) LifeMentor's right to use the Submitted Content for marketing purposes shall survive termination.
For quality control purposes and for delivering, marketing, promoting, demonstrating, or operating the Services, we may record and use all or any portion of your Submitted Content. To the extent permitted by applicable law, you give LifeMentor permission to use your name, likeness, voice, and image in connection with providing, delivering, marketing, promoting, demonstrating, and selling the Services, your submitted content, or LifeMentor's content. You also waive any privacy and publicity rights that you may have.
LifeMentor reserves the right to appoint “Premium Instructors” as LifeMentor sees fit. The Premium Instructors are chosen on solely discretion by LifeMentor. In order to become a Premium Instructor you have to be eligible and approved by Life Mentor LLC. Such Premium Instructors may receive specific promotions, incentives and also specific obligations discussed between the parts via email or other communication channels. Agreement of these Terms as well as confirming your status as a Premium Instructor will be done via email.
3. Trust & Safety
3.1 Trust & Safety Policies
You consent to abide by the Trust & Safety policies of LifeMentor, the Restricted Topics policy, and any other content quality requirements or guidelines that LifeMentor may establish from time to time. To ensure that you are adhering to any updates, you should periodically review these policies. You acknowledge that LifeMentor must first approve your use of the Services, and we reserve the right to do so in our sole discretion.
We reserve the right to do so whenever necessary, without prior notice, and for any reason, including but not limited to the following:
an instructor or content does not comply with our policies or legal terms (including the Terms of Use);
content that does not meet our standards for quality or has a negative effect on how students are taught;
an instructor acts in a way that might reflect poorly on LifeMentor or render LifeMentor an object of public scorn, scandal, or ridicule;
an instructor hires a marketer or other business partner who disregards LifeMentor's rules;
an instructor engages in unfair competition by using the Services to promote their off-site business in a manner that is against LifeMentor's rules; or
according to what LifeMentor decides in its sole discretion.
3.2 Co-Instructors and Teaching Assistants
You can add other users to the LifeMentor platform as co-instructors or teaching assistants for Submitted Content that you are in charge of, but you must follow our co-instructor relationship rules and guidelines when doing so. You recognize that by adding a co-instructor or teaching assistant, you are giving them permission to take specific actions that have an impact on your LifeMentor account and submitted content. Your LifeMentor account and submitted content may be affected if your co-teacher or teaching assistant violates LifeMentor's terms and policies. LifeMentor is unable to offer advice on any issues or serve as a mediator in any conflicts you might have with these users. According to the ratios you have specified in your Course Management settings as of the purchase date, if your co-instructors have an assigned revenue share, their share will be paid out of your earned revenue share.
3.3 Relationship to Other Users
Since instructors and students do not have a direct contractual relationship, the only data you will learn about students comes from the Services. You acknowledge that you will not collect additional personal information from students or keep their personal information in storage outside of the LifeMentor platform, and that you will only use the data you receive to provide your services to those students on the LifeMentor platform. You consent to hold LifeMentor harmless from any lawsuits brought against you because of how you used the student's personal information.
3.4 Anti-Piracy Efforts
For the purpose of preventing unauthorized use of your content, we collaborate with anti-piracy vendors. You appoint LifeMentor and our anti-piracy vendors as your agents for the purpose of enforcing copyrights for each of your works through notice and takedown procedures (under applicable copyright laws like the Digital Millennium Copyright Act) and for other efforts to enforce those rights by appointing them as your agents in order to enable this protection. You give LifeMentor and our anti-piracy vendors the right to file notices to protect your copyright interests on your behalf.
You acknowledge that the aforementioned rights are reserved by LifeMentor and our anti-piracy vendors until you revoke them by sending an email to takedowns@LifeMentor.com from the email address connected to your account with the subject line "Revoke Anti-Piracy Protection Rights." Any revocation of rights shall take effect 48 hours after our receipt of such revocation.
4. Pricing
4.1 Price Setting
You will be asked to choose a base price ("Base Price") for your submitted content from a list of available price tiers when making it available for purchase on LifeMentor. You can also decide to make your Submitted Content available without charge. According to the terms of our Promotions Policy ("Promotional Programs"), as a premium instructor, you will also have the chance to take part in a few promotional programs.
If you choose not to take part in any promotional programs, we will list your submitted content for the Base Price or the equivalent cost for a nearby local business or mobile application (as explained below). We may establish a different discounted price or list price for your submitted content in accordance with the Promotions Policy if you choose to take part in a promotional program.
We will select the price tier that is most similar to the applicable Base Price or Promotional Program price when a student makes a purchase through a mobile application based on the pricing matrix of the mobile platform provider. Conversions for mobile app prices might differ from conversions in the Price Tier Matrix because mobile platforms impose their own currency conversion rates.
You agree that we may freely distribute your Submitted Content among our personnel, particular partners, and when necessary to re-establish access to accounts that had previously purchased your Submitted Content. You are aware that in these situations, you will not be compensated.
4.2 Transaction Taxes
According to applicable law, if a student purchases a good or service in a nation where LifeMentor is required to pay national, state, or local sales or use taxes, VAT, or other transaction taxes of a like nature ("Transaction Taxes"), we will gather and pay those Transaction Taxes to the appropriate tax authorities for those sales. If we decide that such taxes may be owed, we may decide to raise the sale price. Transaction Taxes that apply to purchases made through mobile applications are collected by the mobile platform (such as Apple's App Store or Google Play).
4.3 Promotional Programs
As described in our Promotions Policy, LifeMentor offers a number of optional marketing initiatives (Promotional Programs) in which you can out out from. By determining the ideal price point for your Submitted Content and making them available through subscription collections, these programs can help you increase your potential for earning money on LifeMentor. LifeMentor will always have the capacity to decide the final pricing of the uploaded content.
Participation in these programs is free of charge, and you can change your status at any time; however, changes you make will not take effect for campaigns that are already in progress, and some programs might have additional conditions for termination.
5. Payments
5.1 Revenue Share
We determine the gross amount of the sale as the sum actually paid by the student to LifeMentor when they buy your submitted content ("Gross Amount"). We calculate the net amount of the sale ("Net Amount") from this after deducting any Transaction Taxes, operational costs (40% of Gross Amount), any mobile platform fees applied to mobile provider checkout sales, a 3% service and processing fee (except in Japan, where we deduct a 4% fee), and any amounts paid to third parties in connection with the Promotional Programs.
Your revenue share will be 65% of the Net Amount less any applicable deductions, such as student refunds, if you have not chosen to participate in any of LifeMentor's optional promotional programs. This does not apply to sales made through instructor-generated coupon codes or course referral links, which are described in more detail below. If we change this payment rate, we will provide you 30 days notice using prominent means, such as via email or by posting a notice through our Services.
Your revenue share will be 37% of the Net Amount less any applicable deductions, such as student refunds, if you have chosen to participate in any of LifeMentor's optional targeted marketing programs through funnels and paid advertising support by Life Mentor.
The relevant revenue share may differ if you choose to participate in any of the promotional programs and will be as stated in the promotions policy.
Regardless of the currency in which the sale was made, LifeMentor pays all instructors in U.S. dollars (USD). LifeMentor is not liable for any fees you may incur for currency conversion, wire transfers, or other types of processing. In your revenue report, the sales price (in local currency) and your converted revenue amount (in USD) will both be displayed.
These terms and conditions can be subject to change based on the terms agreed with the individual instructor. All communications via one of the official Life Mentor emails (creators@lifementor.io) are considered confidential and valid.
5.2 Instructor Coupons and Course Referral Links
The LifeMentor platform gives you the ability to create discount codes and referral links so that you can provide students with specific pieces of your submitted content for free, at LifeMentor's current rate, at a discount, or both, as allowed by the terms of the Services. You cannot sell these discount codes or referral links on other websites or use them in any other way where you would receive payment. Our Trust & Safety policies go into more detail and place restrictions on these discount codes and affiliate links.
When a student uses your coupon code or referral link during the checkout process, you will receive 100% of the Net Amount less any necessary deductions, such as student refunds.
5.3 Receiving Payments
You must have an active PayPal, Payoneer, or U.S. bank account (for U.S. residents only) in order for us to pay you on time. You must also keep us informed of the correct email address linked to your account. You agree that we have the right to deduct the proper taxes from your payments and that you will provide us with any identifying information or tax documentation (such as a W-9 or W-8) required for payment of amounts due. If you fail to provide us with accurate identification information or required tax documentation, we reserve the right to withhold payments from you or apply other penalties. You acknowledge that any taxes owed on your income are ultimately your responsibility.
Payment will be made within 45 days of the end of the month in which (a) we receive the fee for a course or (b) the relevant course consumption occurred, depending on the applicable revenue share model.
As an instructor, you are responsible for determining whether you are eligible to be paid by a U.S. company. In the event of proven fraud, infringements on intellectual property rights, or other legal violations, we reserve the right to withhold payment.
If we cannot settle funds into your payment account after the period of time set forth by your state, country, or other government authority in its unclaimed property laws, we may process the funds due to you in accordance with our legal obligations, including by submitting those funds to the appropriate government authority as required by law.
The terms and conditions can be updated at any time. The instructors will be notified, 30 days in advance, via an official Life Mentor email or an official notification on the Life Mentor platform, or any other official communication channel agreed by Life Mentor.
5.4 Refunds
As stated in the Terms of Use, students have the right to a refund, which you acknowledge and accept. Transactions for which a refund has been authorized in accordance with the Terms of Use will not generate any revenue for instructors.
In the event that a student requests a refund after we have made the appropriate instructor payment, we reserve the right to: (1) deduct the refund amount from the following payment made to the instructor; or (2) if no additional payments are necessary to cover the refunded amounts or the payments are insufficient, require the instructor to return any amounts paid to students for the instructor's Submitted Content.
5.5 Operational Costs
The operational costs deducted from the Gross Amount represent the sum of all fees, marketing ad spend, marketing production investments, funnel building, backend systems data usage, refunds processing, and any other cost that may be incurred in the process of hosting, marketing, and managing customer experiences.
6. Trademarks
You may use our trademarks where we have given you permission to do so while you are a published instructor and while you are subject to the conditions below.
You must:
Use only the images of our trademarks that we provide to you, in accordance with any guidelines we may publish;
Use our trademarks exclusively in connection with advertising and marketing the purchase of your submitted content that is made available on LifeMentor or your participation on LifeMentor; and
immediately comply if we request that you discontinue use.
You must not:
use our trademarks in a deceptive or harmful manner;
use our trademarks in a manner that suggests we sponsor, endorse, or accept the products or services you have submitted; or
use our trademarks in a manner that is illegal or in connection with content that is obscene, indecent, or illegal.
7. Deleting Your Account
In your user profile, you can delete your account. Before closing your account, we will make all commercially reasonable efforts to complete any outstanding payments that are owed to you. You are aware that even after your account has been deleted, students who had previously signed up for your Submitted Content might still be able to access it. Through our Support Center, you can get in touch with us if you need assistance or run into problems deleting your account.
For special circumstances, where Life Mentor has committed to an initial investment into your account or courses, Life Mentor reserves the right to use the course for up to 24 months since the termination of your account.
8. Miscellaneous Legal Terms
8.1 Updating These Terms
LifeMentor reserves the right, in its sole discretion, to modify and/or make changes to these Terms at any time. From time to time, we may update these Terms to make clear our practices, to reflect new or different practices (such as when we add new features), or both. If we make any significant changes, we will give you clear notice by posting a notice on our website or sending an email to the email address listed in your account. Unless otherwise specified, changes take effect the day they are posted.
You will be deemed to have accepted changes if you continue to use our Services after they take effect. All previous Terms are superseded by any revised Terms.
8.2 Translations
You understand and agree that any translation of these Terms into any language other than English is provided for convenience only, and that in the event of any inconsistency, the English translation shall govern.
8.3 Relationship Between Us
We both acknowledge that there is not a partnership, employment, joint venture, contract, or agency between us.
8.4 Survival
Sections 2 (License to LifeMentor), 3.3 (Relationship to Other Users), 5.3 (Receiving Payments), 5.4 (Refunds), 7 (Deleting Your Account), and 8 (Miscellaneous Legal Terms) shall remain in effect after the expiration or termination of these Terms.
